User Terms of `BrightonGrid’

applicable to Visitors and Businesses

Please read these terms carefully - you may use if (and only if) you accept them in their entirety.

1. :

2. Definitions:

• ‘Advertisement’ includes links to websites of Businesses and others.
• '' means the website operated by TSL and the services provided thereon
• ‘Business’ means a person or body using as an advertiser or for purposes related to the promotion of a business or an event.
• ‘TSL’, ‘we’, and ‘us’ mean JUSTgridz Ltd
• ‘User Terms’ means these terms, to be accepted by every User on accessing
• ‘Users’ includes Businesses and Visitors
• ‘Visitor’ means any person making use of other than as a Business
• ‘Unlawful’ means such as might give rise to any actual or potential liability, civil or criminal, either under the laws of England and Wales, or under the laws of any other jurisdiction to which may be subject

3. Use of :

• is free of charge to Visitors
• is charged to Businesses, subject to any initial evaluation period that may be offered.
• is permitted only subject to the edition of these terms and conditions currently in force (and, in the case of a Business, to the Subscriber Agreement)

4. Users must:

• not use for any unlawful purpose or in any unlawful manner
• fully indemnify against any liability (including the legal costs of a successful defence or of a compromise) on the indemnity basis as a result of any claim being made against , in relation to any use of by the User.

• reserves the right in its absolute discretion to refuse or remove any Advertisement (without being required to give reasons), and to edit or classify any advertisement as it sees fit

• retains copyright and database right in the advertisement database and all material on

6. Liability:

• ALL MATERIAL PUBLISHED ON BRIGHTONGRID IS PUBLISHED BY US IN GOOD FAITH, BUT NO LIABILITY IS ACCEPTED FOR ANY ERRORS, OR FOR ANY LOSSES THAT MAY BE INCURRED IF ANY INFORMATION ON BRIGHTONGRID IS RELIED ON.
• IN NO CIRCUMSTANCES IS ANY RESPONSIBILITY ACCEPTED FOR THE ACCURACY OR CONTENT OF ANY ADVERTISEMENT (NOR IS ANY WARRANTY EXPRESSED OR IMPLIED BY SUCH PUBLICATION) OR FOR THE SUITABILITY OF ANY BUSINESS FOR ANY PURPOSES; AND WE SPECIFICALLY DISCLAIM ALL AND ANY LIABILITY TO USERS OF ANY KIND FOR LOSS OR DAMAGE OF ANY KIND AND HOWSOEVER ARISING, WHETHER DUE TO INACCURACY, ERROR, OMISSION, OR ANY OTHER CAUSE, AND WHETHER ON THE PART OF US OR ON THE PART OF ANY OTHER
• BRIGHTONGRID IS PROVIDED ‘AS IS’, AND USERS ACKNOWLEDGE THAT IT IS NOT TECHNICALLY PRACTICABLE TO GUARANTEE SUCH A SERVICE :TO BE ERROR-FREE. USERS AGREE THAT IF ANY ERRORS ARE FOUND TO EXIST THEY SHALL NOT CONSTITUTE A BREACH OF THESE TERMS, AND SHALL NOT GIVE RISE TO ANY LIABILITY.
• TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES WITH RESPECT TO BRIGHTONGRID AND ANY INFORMATION THEREON, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSS OR DAMAGE WHICH MAY ARISE IN RESPECT OF BRIGHTONGRID, ITS USE, OR IN RESPECT OF OTHER EQUIPMENT OR PROPERTY, OR FOR LOSS OF PROFIT, BUSINESS, REVENUE, GOODWILL OR ANTICIPATED SAVINGS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.
• IN NO EVENT WILL WE BE LIABLE FOR ANY CLAIM UNLESS THE CLAIM IS NOTIFIED TO US WITHIN 12 MONTHS OF THE CAUSE OF ACTION ARISING.
• IN THE EVENT THAT ANY EXCLUSION CONTAINED IN THESE TERMS SHALL BE HELD TO BE INVALID FOR ANY REASON AND WE BECOME LIABLE FOR LOSS OR DAMAGE THAT MAY LAWFULLY BE LIMITED, SUCH LIABILITY SHALL BE LIMITED TO £100.
• We do not exclude liability for death or personal injury to the extent only that it arises as a result of our negligence (or that of others for whose acts and defaults we may be legally liable).

7. Miscellaneous:

• by using Users accept that these Terms supersede all prior agreements, and are complete and exclusive (save in the case of a Business, where the Subscriber Agreement also forms part of the agreement with us). No oral or written information given by or on behalf of shall create a warranty or collateral contract, or in any way increase the scope of ’s liability in any way, and Users may not rely on any such information.
• the right is reserved to change these Terms from time to time without prior notice; any such revised Terms may be viewed at log-in.
• if any provision in these Terms shall be determined to be invalid, such provision shall be deemed omitted; the remainder of these Terms shall stand.
• these Terms shall be governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction in all matters arising.
